Name and Purposes Section 1. Name: The name of this Association shall be THE NORTHERN KENTUCKY COUNSELING ASSOCIATION, A Regional Chapter of the KENTUCKY COUNSELING ASSOCIATION. Section 2. Use of Name: The name of the Association shall be employed in connection with all official business and activities of the Association. Section 3. Purposes: The purposes of this Association shall be: a. To promote all phases of personnel and guidance work in the Northern Kentucky area. b. To bring persons in the community engaged in or in support of guidance, counseling and personnel work together in an organization in order to provide for a common identity. c. To provide an opportunity for counselors, school personnel, personnel workers in industry, and other interested persons to share ideas, discuss problems of mutual interest, and develop a sound understanding between workers in the field. ARTICLE II
Membership Section 1. Types of Membership: a. Voting membership shall be of one type--individual member. b. Supporting Membership is open to any individual or appropriate business, industry, foundation or other organization contributing $10.00 or more, either in general support of the organization, or in support of special projects or on the basis of criteria to be developed. Supporting members are to receive recognition by annual publication of a roster of such members and by such other recognition as may be deemed appropriate by the officers. Section 2. Individual Membership: a. Eligibility: Any person whose primary responsibilities or interests are in the area of human development-— specifically guidance, counseling or personnel work, and others with similar responsibilities and interests, such as community agency workers, school social workers, school psychologists, paraprofessionals, and students in guidance, counseling or personnel work, shall be eligible for membership. b. Procedure: A person who meets eligibility requirements shall become a member of the Association upon payment of the annual dues. c. Privileges of Membership: A member shall be entitled to vote for Association officers, to attend meetings of the Association, and to hold office in the Association. d. Emeritus Membership. A member who has accumulated thirty (30) years of service, and who has been a member of the Association for fifteen (15) years, may request Emeritus Membership. Emeritus Membership shall be granted to an individual by a vote of the membership of the Association. Emeritus members shall be exempt from the payment of dues to the Association but shall retain all the rights and privileges of dues paying members. e. Special Membership: The Officers of the Association may prescribe and establish criteria for special memberships in the Association provided, however, that no person shall be deprived of any rights or privileges heretofore granted. Section 3. Dues: Dues for members of the Association shall be recommended by the officers and established by action of the membership. Section 4. Severance of Membership: a. A member may be dropped from membership for any conduct that tends to injure the Association or to affect adversely its reputation or that is contrary to or destructive of its objectives according to the Bylaws of the Association or the Code of Ethics of the Kentucky Counseling Association. Any member charged with engaging in any such conduct shall be given notice of the precise nature of the charge, shall be given the opportunity to confront witnesses, and shall have the right to appeal to and have a hearing before the officers of the Association whose decision shall be final. The officers shall consider any charges made over the signatures of two members of the Association and shall have the power to determine whether the charges shall be dropped, whether the accused member shall be permitted to resign, or whether the charges are true, subject however, to the right of any accused member to appeal to the membership from any final decision of the officers of the Association. b. A member will be dropped from membership for the nonpayment of dues. ARTICLE III
Officers of the Association Section 1. Officers and Terms of Office: a. The Officers of the Association shall be the President, President-Elect, the Immediate Past—President, the Secretary and the Treasurer; b. All officers of the Association shall be members of the Association and the Kentucky Counseling Association, and the American Counseling Association and shall be elected from the individual members of the Association. All officers shall serve a term of one year or until their successors take office. c. The President—Elect shall automatically become President of the Association one year after the commencement of the term of office as President—Elect, or upon the death, resignation or incapacitation of the President. d. The term of office of any elected officer of the Association shall begin on July 1 and the officer shall serve the prescribed period of time or until a successor takes office. Section 2. Nomination and Election of Officers: a. There shall be established a Nominations and Elections Committee chaired by the Immediate Past—President of the Association. The committee shall be composed of persons reflecting the diverse membership of the Association. b. The Nominations and Election Committee shall establish procedures for the nomination and election of officers, and shall include provisions for write-in candidates for all offices, to all members of the Association, prior to the last scheduled meeting of the membership occurring during the regular school year, at which time results of the election will be announced. c. The Secretary of the Association shall submit to the President and Secretary of the Kentucky Counseling Association the names of its officers within thirty (30) days of their election or appointment. Section 3. Duties of Officers: a. The President shall be the chief elected officer of the Association, and shall preside at all meetings of the Association. The President shall appoint the members of all committees, except as otherwise specified in these Bylaws, and shall be an ex-officio member without vote of all committees. The President shall perform the duties customary to the office. b. The President-Elect or Immediate Past—President shall perform the duties of the President in the absence or incapacity of the President, and such additional duties as directed by the President of the Association. c. The Secretary shall keep the records of all the meetings of the Association, assist in conducting the official correspondence of the Association, issue calls and notices of meetings, and perform such other duties as may be directed by the President of the Association. The Secretary shall send to the President of Kentucky Counseling Association a Plan of Action of the proposed activities of the Association and a complete list of its members as specified in the Kentucky Counseling Association Bylaws. d. The Treasurer shall represent the Association in assuring the receipt and expenditure of funds, perform the duties customary to the office and such additional duties as directed by the President of the Association. Section 4. Compensation and Expenses of Officers: None of the elected officers of the Association shall receive any compensation for their services as such to the Association The necessary expenses of the elected officers of the Association may be paid under policies established for such payment by the membership of the Association. ARTICLE IV
Meetings of the Membership Section 1. Meetings: The Association shall hold meetings at a time and place fixed by the President and shall give written notice thereof, to the membership not less than fifteen (15) days prior to the time fixed. ARTICLE V
Business Affairs of the Association Section 1. Association Year: The governance year and the fiscal year shall be July 1 through June 30. ARTICLE VI
Publications Section 1. The Officers, acting on the recommendations of the membership, and subject to approval of a majority of the membership present at a duly constituted meeting, shall determine and direct the basic publications policy and program of the Association. ARTICLE VII
Committees and Committee Membership Section 1. Appointment of Committees and Committee Membership: a. The President shall have the authority to appoint members to such committees as may be needed to conduct activities of the Association. b. The President shall give due consideration of the equitable distribution of chairpersons and members of committees reflecting the membership of the Association. ARTICLE VIII
Amendment of Bylaws Section 1. Procedure: These Bylaws may be amended from time to time by majority vote of the membership by either of the two following methods: a. Proposed amendments may be presented to the membership by a Bylaws committee appointed by the President, or by an individual member. All such proposed amendments must be submitted in writing to the Bylaws Committee at least sixty (60) days prior to a meeting of the Association. Said Committee shall transmit to the membership for its consideration all such proposed amendments, with or without a recommendation regarding each, at least thirty (30) days prior to the next meeting of the Association. b. Proposed amendments may originate at a meeting of the Association. Such proposals shall be referred forthwith to a Bylaws Committee appointed by the President. Said Committee shall transmit to the membership for its consideration all such proposed amendments, with or without a recommendation regarding each, at least thirty (30) days prior to the next meeting of the Association. ARTICLE IX
Rules of Order Section 1. Robert’s Rules of Order, Revised by Henry Martin Robert shall govern the proceedings of the Association except where otherwise specified in these Bylaws. |
